1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the ThreadSyncwebsite and platform (the “Service”), operated by ThreadSync(“ThreadSync”, “we”, “us”, or “our”). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

2. The Service

ThreadSync is a B2B platform that connects garment manufacturers, wholesalers, and retailers, providing tools for secure design sharing, catalog management, AI-assisted visual design discovery, orders and quotes, CRM and invoicing, organization-to-organization messaging, and personalized storefronts. Features and functionality may change or expand over time.

3. Accounts and Eligibility

  • You must provide accurate, current, and complete information when creating an account and keep it up to date.
  • You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
  • The Service is intended for use by businesses and business representatives, not consumers, and is not directed at individuals under the age of 18.
  • You must comply with applicable Indian law, including tax and GST registration and invoicing requirements relevant to your business.

4. Acceptable Use

You agree not to:

  • Upload designs, images, or content that you do not have the right to share, or that infringe another party’s intellectual property rights
  • Circumvent, disable, or otherwise interfere with design-protection features such as watermarking, signed URLs, or access logging
  • Use another organization’s shared catalogs, designs, or data outside the scope of access granted to you
  • Misrepresent your identity, organization, or authority to act on an organization’s behalf
  • Use the Service to send spam, fraudulent orders/quotes, or otherwise abuse other organizations on the platform
  • Attempt to reverse-engineer, scrape, or gain unauthorized access to the Service or other users’ data
  • Use the Service in violation of applicable law

5. Your Content

You retain ownership of the designs, catalog data, and other content you upload to the Service (“Your Content”). By uploading Your Content, you grant ThreadSync a limited license to host, store, process, and display it as necessary to provide the Service, including to the specific organizations you choose to share it with. You are solely responsible for Your Content and for ensuring you have the rights necessary to share it through the Service.

6. Design Protection Features

ThreadSync provides tools such as dynamic watermarking, expiring signed URLs, and access logging to help protect designs shared on the platform. These features are provided on a best-effort basis to reduce the risk of unauthorized use or leakage; they do not guarantee that shared content cannot be misused by a party who receives authorized access to it.

7. Orders, Quotes, and Transactions

ThreadSync facilitates communication, quoting, and order workflows between manufacturers, wholesalers, and retailers. Unless otherwise agreed in writing, ThreadSync is not a party to the underlying commercial transaction between organizations (e.g., the sale of goods) and is not responsible for the performance, quality, delivery, or payment obligations between transacting businesses. Invoicing tools provided through the Service are intended to help you generate GST-compliant documentation, but you remain responsible for the accuracy of your tax filings and compliance with applicable law.

8. Fees and Payment

Certain features of the Service are offered under paid plans as described on our Pricing page. Fees, billing terms, and plan features are illustrative and subject to change; where a conflict exists, your specific order form or agreement with us will govern.

9. Intellectual Property

The Service, including its software, design, branding, and underlying technology, is owned by ThreadSync and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets except as necessary to use the Service as intended.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if you violate these Terms, misuse the platform, or as otherwise reasonably necessary to protect the Service or other users.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, ThreadSync and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or related to your use of the Service.

13. Governing Law
